Page numbers below are the LIVE doc's page numbers (the 58-page version on the site). Two pages get INSERTED and one section gets REMOVED, so after this the doc renumbers. I note that at the bottom.
FIRST, THE TWO THINGS THAT ARE NOT YET IN v7 (so you know what is still missing)
- The Table of Contents page and the stamped page numbers. These were added to the live doc by a final pass that got wiped last session. They are NOT in my current rebuild yet. I will rebuild that pass once you approve the content below. Until then my rebuild looks "plainer" than the live one for this reason alone.
- Beta date is not locked. Council says July 26 morning or July 27. I will write it soft ("late July") in body copy and only pin a window where it helps. Nothing in v7 states a hard beta day.
THE CONTENT CHANGES, PAGE BY PAGE (against the live doc)
Cover - LIVE p1
No change.
NEW PAGE, inserted right after the cover - "A note on how to hold this"
Brand-new one-page legend. Did not exist before. Five short boxes:
- Confidential, personally given - named recipient only, individual link, under NDA, never posted, do not forward.
- A private placement, not a public offer - offering is private under Regulation D; participation limited to investors who qualify under the applicable exemption; investor questionnaire + subscription documents; the Company determines eligibility.
- Illustrations, not forecasts - pre-revenue; projections show how the model behaves, not a promise.
- You can lose everything - restricted, illiquid securities, no public market, no resale absent registration or an exemption; you may lose your entire investment; not investment/legal/tax advice.
- The full terms live in a conversation - cap table, operating agreement, vesting, structure walked through directly; they govern where anything here differs.
Executive Summary - LIVE p3-5 ("the whole story, in two pages")
- Board sentence changed. Was: "a five-person board (Jeff, Sol, Colin, and two more) governs the major decisions." Now: no board number is stated at all; replaced with "the full cap table, operating agreement, and governance structure are walked through directly with investors." REASON: it was factually wrong and the number is still moving.
- Beta date changed. Was "the first beta testers enroll the week of July 10." Now "enter the app in late July."
- ⚠️ ONE THING TO DECIDE: earlier today I also condensed this section from two pages to one and dropped a closing pull-quote, and retitled it "in one page." The LIVE canon deliberately made it "in two pages." Tell me which you want. My recommendation: keep the live two-page version (it is the canon, it is not broken), and only apply the board + date fixes to it. If you agree, I revert my condensing.
The Problem / Method / Science / Product / Data / Why People Stay - LIVE p11-34
No securities or factual changes. Content unchanged. (One image swap sits in this stretch, see Images below.)
The Market, "Why now" box - around LIVE p17
- Pressure line softened. Was: "The window to plant the flag is open now, and it closes the moment strong revenue begins, so the earliest movers get in before the category prices them out." Now: "The tools, the audience, and the perpetual engagement engine arrived together. We would rather be the ones who move now than watch someone else build it." REASON: urgency-to-invest framing is disfavored.
Go to Market / the demo lounge image - around LIVE p33
- Image swapped. Was: a single woman reclined on a fantasy gold-and-emerald chaise, candlelit, one person. Now: the emerald demo lounge with six diverse people in headphones and eye masks, two staff in green polos, the Eames chair, constellation ceiling, a live conference hall behind. REASON: reads as an operating company with throughput, not a mood board, and it is diverse.
The killer app / group-journey image - around LIVE p35
- Image swapped. Was: a robed figure with arms outstretched before rows of seated people, single candle, everyone white. Read as a cult. Now: a bright diverse group settled across loungers and cushions in headphones, one staff member with a tablet checking on a guest, no robe, no altar, no rows. A class, not a rite.
The Rollout timeline - LIVE p41-42
- Founding entry. Removed "elected under a Taurus Moon, Venus-ruled and grounded, trining the founder's natal wealth axis while Mercury is still direct" AND "bank in place." Now reads plainly: "A Wyoming multi-member LLC, with the entity and EIN in place." REASON: the bank is not open (false), and the astrology-favors-your-money claim is the antifraud problem.
- Beta entry. Date July 4 to July 26 (soft).
- Launch and raise entry. Removed "The Sun lights the founder's Vertex, the fated-partnership point, as Jupiter builds toward Leo and his progressed Venus crosses into Scorpio." Kept the plain launch facts.
The Team - LIVE p43-46
- Colin. Was: "He advises Affirmology on growth and the raise and holds a seat on the board." Now: "He advises Affirmology on growth and strategy." REASON: he does NOT hold a board seat (non-voting advisor), and "advises on the raise" implies paid help finding investors, which is broker-dealer exposure.
The Astrology of This Moment - LIVE p47-48 - ENTIRE SECTION REMOVED
The full four-page passage arguing Jeff's natal chart predicts the company's financial success (Jupiter on the Midheaven as "the expansion switch for a career," Part of Fortune "where the gold is," Jupiter lighting the Vertex meaning "the right partners and investors begin arriving now") is CUT from the offering document. REASON: in a doc that also names a price, an instrument, and a return, that is a forecast of investment returns based on astrology, which is exactly what antifraud rules target. It is preserved WHOLE in a separate file, Affirmology_FounderStory_Astrology_v1.md, so it can still be shared as a founder story, just not as part of the investment package. This removal shifts everything after it back by ~2 pages.
The State of the Project - LIVE p49-51
No securities changes. One residual "July 4" reference updated to "the beta opens."
The Ask - LIVE p52-55
- Eligibility language added. Now states: "This is a private placement under Regulation D. Participation is limited to investors who qualify under the applicable exemption. Each prospective investor completes an investor questionnaire and subscription documents, and the Company determines eligibility. The $5,000 door stays open." (NOT "accredited only," NOT "anyone may invest.")
- "Honest caveats" box now points the reader to the new Risk Factors section.
- $5,000 minimum and all the distribution math: UNCHANGED.
NEW SECTION, inserted before The Future - "The Risks, plainly"
Brand-new one-page section. Did not exist before. Covers: pre-revenue / no operating history; the raise may not close; ARPU/CAC/churn unvalidated; two founders who are partners in life; key-person risk on Jeff; platform and API dependence; competition from larger apps; regulatory / wellness-claim risk; birth-data privacy risk; provisional (not granted) patent; restricted securities, illiquid, no public market, no resale absent registration or an exemption; dilution; and the K-1 tax wrinkle. REASON: the doc projects $23K to $650K/yr distributions and had zero risk disclosure. This makes the numbers more credible, not less.
The Future / Become Part of This - LIVE p56-58
No securities changes. (The "July 10: our beta begins" line on the closing page becomes soft/late-July.)
RENUMBERING NOTE
Net page count: minus ~2 pages (astrology section removed), plus 2 pages (legend + risk factors). So the doc lands close to the same length. The Table of Contents will need the "Astrology of This Moment" line removed and every page number restamped. I will handle that in the stamping pass, and you can check the TOC against the body when I deliver.
OPEN DECISIONS FOR YOU (I am holding on all of these)
- Exec summary: keep the live "two pages" version, or my condensed "one page"? (I recommend keeping the live two-page canon and only applying the board + date fix.)
- Beta date: council says July 26 morning is fine if you launch before noon, but since you have an evening event on the 26th, it recommends July 27 so you can be fully present. Want me to write the doc toward the 27th, or keep it fully soft?
- Rebuild the TOC + page-number stamping pass now? This is what restores the "grand" polish. I will do it once you approve the content above.
