Investors need the entity name and state, not the EIN. Only give the EIN to the bank, the IRS, payroll, Stripe/merchant processing, and our accountant.

The IRS has classified us as a multi-member LLC, which by default is taxed as a partnership, meaning an annual Form 1065 plus K-1s to each member, rather than a single-member disregarded entity. The accounting year closes in December. Worth a short conversation with an accountant before year end, especially about whether an S-corp election ever makes sense once founder pay is real.
Wyoming's Articles of Organization form does NOT ask for member-managed vs manager-managed. It only captures name, registered agent, mailing address, principal office, and organizer. So nothing was elected at the state level, and there is nothing to conflict with. (Jeff signed the form with the title "MANAGER," but that is the filer's title, not a management election.)
Therefore the Operating Agreement decides it, freely. We are electing MANAGER-MANAGED, with Jeff Parker as sole Manager. Rationale: in a member-managed LLC every member has apparent authority to bind the company, meaning Sol could sign a contract that binds Affirmology. Manager-managed centralizes that authority in Jeff, which matches the governance we actually agreed, and is cleaner for banks and investors. Sol keeps her protection through the Major Decisions list, which Jeff cannot act on alone.
